To provide assurance to ZCCM-IH Plc management and the Board on the adequacy, effectiveness and efficiency of the governance, risk management and control systems for the Group.
To facilitate and develop a comprehensive process for assessing, identifying, monitoring and reducing pertinent business risks that could interfere with the Group’s objectives and goals and ensuring that the Group is compliant with its internal operating policies and procedures and any external legal, regulatory or contractual requirements.

|Risk and Internal Audit Policies, procedures and systems||Formulates, updates and implements the risk and audit policies, procedures and systems.
Monitors the implementation of the policies, procedures and systems.
|Audit program delivery||Prepares and updates a comprehensive risk-based audit plan for evaluating the effectiveness of controls in place to manage significant risk exposures, ensure the integrity and reliability of information and financial reporting, safeguard group’s assets, and comply with laws and regulations.
Develops and executes the annual audit plan and perform duties necessary to achieve the internal audit objectives and scope.
Includes all company locations and cross Group functions in the audit universe to determine if they are performing in compliance with management’s policies, procedures, goals and objectives.
Evaluates the group’s system of risk management, governance and control to ensure that it is functioning as planned and that it is updated as necessary to meet changes in operating conditions.
Proactively promotes effective internal controls to mitigate the risk of fraud and error.
Coordinates the internal audit effort with those of the company’s external auditors to minimize duplication of effort.
|Advisory responsibilities||Contributes to the development and maintenance of a strong internal control environment.
Leads internal investigations and consultancies.
Involvement in the implementation of new processes and systems to provide an independent view of the quality of the project management and to embed an effective control framework from the start.
Leads the assurance of adequacy the embedded controls in new and/or reviewed policies, procedures, processes and systems.
Reviews and challenges the Group’s policies to ensure that they are up-to-date and relevant.
Leads the assurance of adequacy, effectiveness and efficiency of controls in project management.
|Reporting and Communication||Reports the results of all audits to senior management and the Audit Committee.
Ensures that senior management and the Audit Committee are aware of current issues related to all areas covered by the Risk and Internal Audit department, including internal financial control, corporate governance, audit committee and internal audit matters.
Reviews and records actions taken by management to correct conditions reported by audit findings. Determines that actions taken are appropriate for the circumstances or initiates further discussions with appropriate management and staff.
Reports to management and the Audit Committee the risks to the company, its investments and the group.
|Enterprise Risk Management||Coordinates the enterprise risk management programme in the group.
Helps ensure that business managers fulfill their responsibilities for managing risk while making certain the objectives of the Group are accomplished and the policy carried out.
Champions the Ethics programme in the group.
Leads the monitoring of compliance to laws, regulations, policies and procedures in the group.
Leads the design, review and implementation of business continuity policies and plans.
|Investment Risk||Leads the inspection of Investee Companies’ records.
Leads the conduct due diligence on prospective investments.
Leads the reviewing and monitoring of the risk management program in the investee companies.
|People management||Organizes, directs, and controls the group Risk and Internal Audit departments and the work of all internal audit staff.
Manages, recruits, develops and trains a professional audit staff with sufficient knowledge, skills, experience, and professional certifications to meet the group’s audit requirements.
